Terms & Conditions
1. General
1.1 The mrfgr.com website ("Website") is provided by MRFRG a division of AGENTC Ltd whose registered office is at Melton Court, Gibson Lane, Kingston upon Hull, HU14 3HH, ("AGENTC")
1.2 Use of the MRFGR Website and any AGENTC extranet sites to which you may be directed (together referred to as "AGENTC Webpages") and membership to these Webpages or participation in any other AGENTC projects or activities - which may include but will not be limited to Online Surveys, Product Testing, Mystery Shopping, Focus Groups, One-To-One/Depth Interviews, Workshops, Co-creation Groups and Usability Testing (referred to as “AGENTC P&A”) is governed by these terms and conditions of use ("Terms").
2. Acknowledgement and Acceptance
2.1 By ticking 'I agree' during the registration process to register your participation as a member of any of the AGENTC Webpages, or by participating in any AGENTC P&A or by simply accessing and using the AGENTC Webpages, you agree to be bound by these Terms and become a member (“Member”) of AGENTC. Should you not wish to accept these Terms, you must exit the AGENTC Webpages immediately and/or cease participation in any AGENTC P&A.
2.2 AGENTC reserves the right at any time and from time to time, to modify or amend these Terms or any part thereof, with or without notice. Your continued use of the AGENTC Webpages or continued participation in the AGENTC P&A constitute to an an affirmative acknowledgement of any modification and your continued agreement to be bound by the modified Terms.
3. Terms of Use
3.1 AGENTC Member Registration Process & AGENTC P&A
3.1.1 To become a member of the AGENTC Webpages and to participate in AGENTC P&A, you need to register on a AGENTC website which includes www.MRFGR.com.
3.1.2 You can only register one account and in the event AGENTC finds additional accounts linking to you, only the first account will be used and all other entitlements to additional accounts - including any accrued points - will be lost, in addition to the additional accounts likely being deleted. In some cases AGENTC may ask for proof of identification before you can continue to use your account, in such instances the account will be frozen until such proof is given and will include a suspension of any claims for vouchers.
3.1.3 Only one person, you, the registered individual can use your account, with the exception if an AGENTC employee needs to access your account for administration purposes. If you do suspect someone else - other than you or an AGENTC employee - has accessed your account you agree to bring this to our immediate attention by email to info@mrfgr.com or a telephone call to one of our main offices.
3.1.4 In the event that someone else has had access to your account any incentives or points associated with this intrusion will be reclaimed by AGENTC and will be deducted from your account.
3.1.5 Registration involves answering questions about your personal, social and work life. Please note the only questions that are compulsory are your ‘forename’, ‘gender’, ‘month and year of birth’, ‘nearest city’, and ‘postcode’ which are taken on initial registration to the MRFGR.com website. It is expected that you will provide true, accurate, current and complete information in relation these questions and will be updated when it becomes obsolete and no longer applies to you.
3.1.6 Should you provide information that is false, inaccurate, not current or incomplete or AGENTC has reasonable grounds to suspect that you have provided false, inaccurate, not current or incomplete information, AGENTC have the right to suspend or terminate your current access to the AGENTC Webpages and any AGENTC P&A that you may be part of.
3.1.7 You have the right not to take part in any AGENTC P&A.
3.1.8 Registration allows us to match AGENTC P&A against your profile type and will enable us to communicate by email, text or telephone call such AGENTC P&A to you, including the actual AGENTC P&A activity and - if applicable - any associated rewards.
3.1.9 The more information you provide to us, the more likely it will be that we can match you to potential AGENTC P&A and hence will be able to communicate these opportunities to you.
3.1.10 AGENTC P&A includes, but will not be limited to, (1) Online Surveys (2) Product Testing (3) Mystery Shopping (4) Focus Groups (5) One-To-One/Depth Interviews (6) Workshops (7) Co-creation Groups (8) Usability Testing.
3.1.11 Should you be interested in any AGENTC P&A you will need to follow the instructions communicated to you. These will usually involve answering an online screener to further clarify your profile type and your suitability to the AGENTC P&A.
3.1.12 AGENTC P&A are either anonymous or non-anonymous and as such will be communicated to you before you decide to participate. Non-anonymous AGENTC P&A are usually in the form of focus groups, one-to-one/depth interviews, workshops, co-creation groups, mystery shopping, product testing, usability testing and on occasion online surveys. However, please note, you will be informed what information would be disclosed to the third party and your agreement sort before you partake in such a AGENTC P&A.
3.1.13 AGENTC reserves the right to terminate any AGENTC Account that has been dormant for a period of 6 months or more. By ‘dormant’ we mean, where the Member has not participated in the relevant AGENTC online surveys, screeners or AGENTC P&A within the preceding 6 month period. AGENTC will attempt to contact the Member, via their nominated email address, if their AGENTC Account is at risk of termination through inactivity. In the absence of a satisfactory response, the user’s AGENTC Account will be terminated, and any accrued Credit will be forfeited.
4. Rewards
4.1 If you are successful in participating in a AGENTC P&A in most cases you will be rewarded. Rewards come in a variety of forms and include - but are not limited to - cash, bank transfers, other online transfers (such as Paypal transfers), cheques, vouchers, prize give-a-ways and free products.
4.2 Rewards are only paid on successful completion of the project or activity. The requirements of what will be deemed a successful completion will be communicated to you in the original AGENTC P&A communication for your particular AGENTC P&A.
4.3 Should you partake in any online surveys or provide answers to any online screeners, you will be assigned points. The points will be allocated to one or more of the following categories (1) Paid Points, (2) Prize Points, or (3) Participation Points. The way the points are assigned will be communicated to you in the original AGENTC P&A communication.
4.4 In instances where Paid Points are distributed, these are automatically allocated to your Paid Points account. For every 2,500 Paid Points you accrue you can request by email to info@mrfgr.com to exchange these for a £25 Amazon voucher which will be emailed to your AGENTC registration email address. The number of points that you exchange will be deducted from your Paid Points account. You can accrue any amount of Paid Points and they will not expire (unless in the unlikely event the company AGENTC Ltd should be liquidated).
4.5 In instances where Prize Points are distributed, these are automatically allocated to the Prize Draw for the project or activity that you have participated in. The prize is drawn dependent on the project or activity at hand and will be communicated to you in the original AGENTC P&A communication. Such draws will be governed by the respective terms and conditions specified and displayed for each prize draw.
4.6 In instances where Participation Points are distributed, these are automatically allocated to your Participation Points account. Participation Points are allocated to you to encourage participation in AGENTC P&A. The more Participation Points you have the more likely you are to be selected for future AGENTC P&A. For example, most AGENTC P&A have a limited amount of spaces and there may be too many respondents that fit the criteria for the AGENTC P&A, in this instance, in most cases, the respondents with the most Participation Points will be selected (unless the client or other third party who has contracted AGENTC for the activity or project states otherwise).
4.7 In the event that you are found to have fraudulently accrued points within any of the categories (paid, prize or participation) these will be deducted and it will also be likely that you will be de-registered from the AGENTC site/s and will not be allowed to join any AGENTC sites or AGENTC P&A in the future.
4.8 AGENTC may also from time to time adjust a Member's points account upwards or downwards in response to errors which Members acknowledge may arise.
4.9 In the event that you are selected for a AGENTC P&A, agree to attend, but fail to show, or show late, AGENTC will lose it’s fee to the client and in such circumstances - if you have the Paid Points available - an equivalent amount of Paid Points will be deducted from your account and/or you will be de-registered from the AGENTC site/s and will not be allowed to join any AGENTC sites or AGENTC P&A in the future.
4.10 AGENTC reserves the right to change the range of AGENTC P&A through which rewards may be accrued and to vary the frequency of invitations to such AGENTC P&A. AGENTC also reserves the right to alter - at any time without communication - the level of ‘Paid Points’ required before such a reward can be redeemed.
4.11 Points may not be transferred to other AGENTC registered accounts nor pooled together in any manner and the sale or barter of points is strictly prohibited. Points have no monetary value, and cannot be used for any purpose other than redeeming the designated reward.
5. Offline Projects & Activities
5.1 Where you have been successfully accepted and invited for your inclusion in an offline/real world AGENTC P&A which may include but will not be limited to offline/real world focus groups, one-to-one/depth interviews, workshops, co-creation workshops, mystery shopping, product testing, usability testing, and you accept the invitation, you agree to all of the following:
5.1.1 That you have provided true, accurate, current and complete information in relation to the screening questions to the offline/real world AGENTC P&A that you are in attendance for;
5.1.2 To arrive at the correct destination at the correct date and correct time provided in your confirmation letter;
5.1.3 To follow the moderator’s or host’s instructions;
5.1.4 To stay for the duration of the session;
5.1.5 Not to disrupt the session in any unacceptable manner or form and generally act in way that would be deemed respectful by the average person on the street;
5.1.6 Not to instigate or be part of any criminal activity;
5.1.7 To follow all the other rules contained within your confirmation letter;
5.2 In the event that you have not adhered to or have broken any of those points from 5.1.1. to 5.1.7, you agree that regardless of any loss of personal time or expense in attendance to such an offline/real world AGENTC P&A that AGENTC can revoke any payment promised to you and in instances where a pre-payment has been made to you can request such payment to be returned.
5.3 In the instance in respect of 5.2 where a return of payment has been requested by AGENTC for your pre-payment to be returned to AGENTC and this has not been received by AGENTC within 30 working days of request AGENTC are in their right to make a request to the small claims courts to retrieve such payment and if you are found guilty will be responsible for all of the court costs.
6. User Content
6.1 Use of the AGENTC Webpages and participation in AGENTC P&A may allow you to interact with, or submit content to, the AGENTC Webpages which may be visible to other users of the AGENTC Webpages (referred to as "User Content").
6.2 You acknowledge that User Content provided by you is your sole responsibility. This means that you, and not AGENTC, are entirely responsible for all User Content you upload, post, link to, email or otherwise transmit via your use of the AGENTC Webpages or your participation in any of the MRFGR P&A.
6.3 AGENTC does not control or pre-screen the User Content posted on the AGENTC Webpages and does not guarantee the accuracy, integrity or quality of such User Content, and therefore assumes no liability in respect of the User Content.
6.4 You understand that by using the AGENTC Webpages, you may be exposed to User Content, and you agree that you must evaluate, and bear, all risks associated with the use of any User Content, including any reliance on its accuracy, completeness, or usefulness. Notwithstanding the foregoing, AGENTC shall have the right in their sole discretion to refuse, edit, move or remove any such User Content, whether or not it violates these terms and conditions.
6.5 With respect to all User Content you elect to transmit to the AGENTC Webpages, you grant AGENTC the royalty-free, perpetual, irrevocable, non-exclusive license (with the right to sublicense) to use, reproduce, modify, adapt, edit, publish, translate, create derivative works from, perform and display such User Content (in whole or part) throughout the world and / or to incorporate it in other works in any form, media or technology now known or later developed, for any purposes.
6.6 In the course of using the AGENTC Webpages and / or participating in MRFGR P&A, you agree not to:-
6.6.1 Upload, post, link to, email or otherwise transmit any information that is unlawful in any way in the United Kingdom, or in the country in which you reside;
6.6.2 Impersonate any person (whether living or dead) or entity;
6.6.3 Forge headers or otherwise manipulate identities in order to disguise the origin of any content transmitted through the AGENTC Webpages or provided through participation in MRFGR P&A;
6.6.4 Upload, post, link to, or otherwise transmit any information that you do not have a right to transmit;
6.6.5 Upload, post, link to, email or otherwise transmit any unsolicited or unauthorised advertising, promotional materials, "junk mail", "chain letters", "phishing emails", "pyramid schemes", or any other form of solicitation;
6.6.6 Upload, post, link to, email or otherwise transmit any material that contains software viruses or any other computer, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
6.6.7 Collect or store personal data about other individuals; or
6.6.8 Attempt to submit more than one vote per survey or do any other act that may affect the validity of any result obtained through any AGENTC P&A.
7. Termination of Services
7.1 Should you no longer wish to be a member of the Website please communicate this to MRFGR at info@mrfgr.com. Once the request is received it will be processed within 30 working days of receipt and you acknowledge and agree that you may still receive AGENTC communications until the actual termination of your account and your user account no longer exists. In terminating your account any accumulated points will be immediately forfeited.
7.2 You agree that AGENTC, in its sole discretion, may terminate or suspend your MRFGR Account, or participation in any MRFGR P&A, or remove or discard any User Content, for any reason, including, without limitation, for lack of use, or if AGENTC believed that you have violated or acted inconsistently with these Terms.
7.3 You agree that any termination of your access to AGENTC P&A under any provision of these Terms may be effected without notice, and you acknowledge and agree that AGENTC may immediately deactivate your registration as a Member and / or bar access to AGENTC P&A. Further, you agree that AGENTC shall not be liable to you or any third-party for any termination of your access to AGENTC P&A.
7.4 AGENTC reserves the right to cancel AGENTC P&A or the AGENTC Webpages at any time and in such a case and unless specified otherwise, no MRFGR points will be redeemable by any of its members. In such circumstances AGENTC will endeavor to communicate any such cancellation to it’s members but will not be liable for failure to do so regardless of the reasons.
8. Indemnity
8.1 You hereby agree to indemnify and keep indemnified AGENTC, its successors and assignees and each of its respective directors, officers, employees and agents from and against any and all liability, damages, losses, claims (including reasonable legal fees) resulting in any way from your use of the AGENTC Webpages (including the provision of User Content) or your participation in AGENTC P&A or resulting from any breach of this Agreement whether such breach is carried out by you or by any other person through your MRFGR user account.
9. Third Party Links
9.1 Links included within the AGENTC Webpages may let you leave the AGENTC Webpages and enter into other website(s) ("Linked Site(s)"). The Linked Sites are not under the control of AGENTC and AGENTC is not responsible and nor shall it be liable for the contents of any Linked Sites or any links contained in a linked site or any changes or updates to such sites. AGENTC is not responsible for webcasting or any other form of transmission received from any Linked Site. AGENTC is only providing these links to you as a convenience and the inclusion of any link does not imply endorsement by AGENTC of the site or any association with their operators.
10. Intellectual Property Rights
10.1 All copyright and other intellectual property rights in the materials on the AGENTC websites are owned by AGENTC unless otherwise indicated. You may download, print or copy any material from this website or the Application that you wish, provided it is for your own personal, non-commercial use and you keep in place all original copyright notices or other intellectual property notices.
10.2 Subject to Clause 9.1 above, you may not copy, modify, alter, distribute, publish, sell or otherwise use any material on AGENTC websites or the Application in whole or in part, unless you have obtained the prior written consent of AGENTC.
11. Disclaimer of Warranty
11.1 Separate terms and conditions may apply to certain products, services and materials available through this website or the Application. If this is the case this will be brought to your attention. Subject to this, no express or implied warranties of any kind are made in respect of this website or the products, services and materials available through it.
11.2 AGENTC does not warrant that this website or the Application will operate uninterrupted or error/virus free or that the information on this website is accurate or complete.
12. Data Protection
Any personal information you submit to AGENTC will be dealt with in accordance with our Privacy Policy.
13. Entire Agreement
This Agreement supersedes all prior agreements, arrangements and understandings between the parties and constitutes the entire agreement between the parties relating to the subject matter hereof (save that neither party seeks to exclude liability for any fraudulent pre-contractual misrepresentation upon which the other party can be shown to have relied).
14. Jurisdiction and Law
14.1 This Agreement is governed by the laws of England and the parties irrevocably agree that the courts in England shall have exclusive jurisdiction to settle any dispute which may arise out of, under, or in connection with this Agreement or the legal relationship established by them, and for those purposes irrevocably submit all disputes to the jurisdiction of the English courts. The place of performance shall be England.
